1. Consulting & Software Development Services

• Projects not yet commenced may be cancelled with a full refund, minus any documented costs already incurred for planning or third-party resources.
• Cancellation of scheduled consulting sessions requires at least 24 hours advance notice. Late cancellations (less than 24 hours) will be charged at 50% of the agreed session rate.
• No-shows without prior notice will be charged the full session rate.
• Fees for completed work, delivered milestones, or accepted deliverables are non-refundable.

2. Professional Training Sessions

• Training sessions may be rescheduled at no additional cost with at least 24 hours advance notice.
• Cancellations made within 24 hours of a scheduled session are non-refundable.
• Completed training sessions are non-refundable.
• Prepaid session packages: unused sessions may be refunded on a pro-rata basis if the cancellation request is made within 90 days of purchase.

3. IT Procurement Services

• Orders not yet placed with suppliers may be cancelled with a full refund of any advance payment.
• Orders already placed with suppliers are subject to the supplier's cancellation policies and may incur cancellation or restocking fees, which will be passed through to the client.
• Hardware and equipment received in unopened, original condition may be returned within 14 days of delivery, subject to a 15% restocking fee and return shipping costs.
• Custom-configured, built-to-order, or special-order items are non-refundable once the order is confirmed with the supplier.

4. Refund Processing

• Approved refunds will be processed within 10 business days of the approval date.
• Refunds will be issued to the original payment method used for the transaction.
• Bank processing times may vary and are beyond our control.

1. Services

Homura Insights LLC provides technology consulting, custom software development, IT procurement, and professional training services as described on our website and in individual service agreements. The specific scope, deliverables, and timelines for each engagement will be defined in a written statement of work or service agreement.

2. Engagement & Payment

• Services are provided on a project basis or hourly basis as agreed in writing prior to commencement.
• Payment terms are specified in individual service agreements or invoices. Unless otherwise agreed, payment is due within 30 days of the invoice date.
• Late payments may incur a finance charge of 1.5% per month on the outstanding balance.
• All fees are in U.S. dollars unless otherwise specified.

3. Intellectual Property

• Unless otherwise agreed in writing, all custom software, code, designs, and deliverables created specifically for the Client become the Client's property upon full payment.
• Pre-existing intellectual property, frameworks, libraries, and tools owned by either party remain the property of their respective owners.
• The Company retains the right to use general knowledge, techniques, skills, and experience acquired during engagements.

4. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information disclosed during the engagement. This obligation continues after the termination of the business relationship. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

5. Warranties

• We provide services with the professional care, skill, and diligence consistent with generally accepted industry standards.
• Software development deliverables include a 30-day warranty period from the date of acceptance for defects in workmanship. During this period, we will correct verified defects at no additional charge.
• Except as expressly stated, services are provided "as is" without additional warranties, express or implied.

6. Limitation of Liability

• Our total liability for any claim arising from services provided shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
• In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.
• We are not responsible for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to acts of nature, government actions, or third-party service disruptions.

7. Termination

• Either party may terminate a service engagement with 30 days written notice.
• Termination does not relieve the obligation to pay for services already rendered or costs incurred prior to termination.
• Upon termination, we will deliver any completed work and work-in-progress to the Client.

8. Indemnification

The Client agrees to indemnify and hold harmless Homura Insights LLC from claims, damages, or expenses arising from the Client's use of delivered services or products, except where such claims result from our negligence or willful misconduct.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in Wyoming in accordance with the rules of the American Arbitration Association.

10. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients. Continued engagement of our services following notice of changes constitutes acceptance of the modified Terms.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
